New company law to affect all Single Person Companies (S.P.C).

The Kingdom of Bahrain has introduced a new Legislative Decree No. 28 of 2020 for amending certain provisions of the Commercial Companies Law promulgated by Legislative Decree No. 21 of 2001.

As per these new amendments, S.P.C’s (Single Person Company) are no longer recognized as legal structures in Bahrain.  Accordingly, all S.P.C companies will be converted to a W.L.L (With Limited Liability) company. This change will be implemented automatically by the Ministry of Industry, Commerce and Tourism (MOICT).

All official documents currently used by the S.P.C’s should now begin to reflect the change in status to W.L.L such as sign boards, official letterhead and website within six months, that is, no later than 1 April 2021.
